Tony Danza's Lost Hawaiian Sweepstakes begins on or about 10:00 A.M. Eastern Time ("ET") on 11/14/05 and ends at 11:59:59 P.M. Pacific Time ("PT") on 11/18/05. The Sweepstakes is composed of five (5) separate daily sweepstakes. See Entry Deadline Chart (below) for each Sweepstakes start and end dates and times.

Watch The Tony Danza Show airing 11/14/05 through 11/18/05 ("Air Dates") to obtain Tony's Word or Phrase of the Day ("Clue"). Once the Entrant obtains the day's Clue (one per day during Air Dates), you can enter that day's Sweepstakes via the Internet starting at 10:00:00 A.M. ET on that day. Entries of any kind submitted prior to each individual Sweepstakes' start dates and times will be void. To enter via the Internet (if the Show airs in entrant's area): During the period from 10:00 A.M. ET on 11/14/05 to 11:59:59 P.M. PT on 11/18/05 access http://www.thetonydanzashow.com ("Web Site") and click on the "Tony Danza's Lost Hawaiian Sweepstakes" button which will take you to the Sweepstakes mini-site. On the mini-site click on the button marked "Enter Now" and you will then be offered the opportunity to register with the website (if you are not already registered), and to enter the Sweepstakes. Entrants who are already registered must log-in using their member name and password and click submit. If you are not a registered entrant, become a free registered entrant by completing (and thereafter transmitting) the registration form. Information requested on the registration form consists of your First Name, Last Name, Email Address, Gender, Birth Date, Street Address (optional) and City (optional) and your choice of Log-in Name and Password. Once registered, entrants will be required to verify their registration information and to type in the Day's Clue and to provide their complete Home Address (including zip code, no P.O. Boxes) and the Telephone Number (including area code) where they can be reached during the period of 11/15/05 through 11/21/05 ("Internet Entry"). Limit one (1) Internet Entry per person per day. Participants can only register and participate in the Sweepstakes under one member Name and/or one email address. That member name and/or email address cannot be used by any other person to participate in this Sweepstakes. To enter via the Internet (if Show does not air in entrant's area): Access the Web Site and click on the text link or icon stating "Click here if the Tony Danza Show does not air in your city." On the page that appears, you will first log in or register with the Web Site (as described above). Then, you will be prompted to again enter your zip code. If the zip code entered is a zip code where The Tony Danza Show does air, you will be linked to the local listings page to see what time and channel Tony airs in your city. If the zip code entered is in an area that the Show does not air (and you have accessed the Web Site prior to 11/14/05) you will be instructed to return to the Web Site on each of the Air Dates (11/14/05 - 11/18/05) between the hours of 12:00:01 A.M. PT and 11:59:59 P.M. PT to obtain each Clue without watching the Show. For each day that you access the Web Site between 11/14/05 and 11/18/05 between the hours of 12:00:01 A.M. PT and 11:59:59 P.M. PT on each respective day, upon logging-in/registering you will be given the Clue for each respective day's Air Date only. Each day's clue will be available until 11:59:59 P.M. PT on the Air Date that it was given on the Show. After obtaining the Day's Clue, you will need to register/log-in with the Web Site during the period from 10:00 A.M. ET on 11/14/05 to 11:59:59 P.M. PT on 11/18/05 and follow the instructions (as described above) in order to enter.

All required entry information must be completed in order for Internet Entries ("Entries") to be eligible. If entrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Multiple Internet Entries by the same person in excess of the limits stated herein will be disqualified. In order to be eligible for a particular sweepstakes, your Entry must be received by that particular sweepstakes end date and time (see Entry Deadline Chart ("Chart") below). Proof of delivery or receipt of Entry will not be deemed by Sponsor as proof of delivery. Any attempted form of participation in the Sweepstakes other than as described herein is void.

Five (5) potential Grand Prize ("GP") winners (if a resident of a jurisdiction that deems him/her to be a minor, his/her parent/legal guardian) (one (1) per daily sweepstakes) will be randomly selected from all eligible entries received by the Sponsor in five separate drawings to be held on each subsequent weekday between 11/15/05-11/21/05. Potential GP winners will be contacted beginning on or about 11/15/05, and may be required to provide a telephone number at which he/she can be reached on a specified date and time determined by the Sponsor at its sole discretion during the week of 11/28/05-12/2/05. One prize drawing will be held for each of the five individual Sweepstakes from all eligible entries received for that individual Sweepstakes. Non-winning Entries from an individual sweepstakes will not be eligible for, or retained for any subsequent individual Sweepstakes drawings. GP winners will be announced during the week of 11/28/05-12/2/05 subject to verification of eligibility and compliance with these Official Rules. At Show's election, notification may be made during a broadcast/taping of Show. If a potential GP winner cannot be reached after three (3) phone call attempts within one (1) business day, if he/she cannot be available or reached at a specified date and time as determined by the Sponsor at its sole discretion during the week of 11/28/05-12/2/05, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, or if his/her prize or prize notification is returned as undeliverable, such potential GP winner will be disqualified and an alternate potential GP winner may be selected at Sponsor's sole discretion.

5 Grand Prizes (one (1) per daily sweepstakes) - A trip to be shared by winner and 1 guest to Oahu, Hawaii consisting of round-trip coach air transportation for winner and 1 guest to a major airport Honolulu from a major commercial airport (as determined by Sponsor, in its sole discretion) near winner's residence in the U.S; standard hotel accommodations (single room/double occupancy) for four (4) nights; ground transportation from airport to hotel and from hotel to airport; and transfers to and from the set of the television series "Lost" to meet available member(s) of the series' cast. LOST set visit is contingent upon member(s) and Set schedule of such an appearance ("Trip") and does not imply that the winners will be guaranteed appearances by the cast members should there be a schedule conflict, unforeseen illness, etc. Should there be such conflicts for scheduling the trip to the set of LOST the Hawaiian trip will serve as fulfillment of the "grand prize. Approximate Retail Value (ARV) of each GP is $3,500. Odds of winning a prize depend on the number of eligible Entries received each day. Trip must be taken between January 16-21, 2006, or on such other dates specified by Sponsor in its sole discretion. In the event a winner cannot take the Trip during the specified timeframe, winner will forfeit all portions of the "visit to the set of the television series 'Lost'" ("Visit to the Set") portion of the prize and the remaining portions of the prize will serve as full satisfaction of the prize. If a GP winner is unable to accept the Visit to the Set portion of the prize, or if the Visit to the Set is unavailable, that portion of the prize will be forfeited and the remaining elements of the Grand Prize trip shall be full and final satisfaction of all prize obligations to winner. Trip subject to air travel/hotel availability/holiday/black-out dates, and all other prize and travel restrictions. Once determined, no change, extension or substitution of trip dates is permitted, except by Sponsor at its sole discretion. If winner is a resident of a state that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be one of the allotted travel guests. If travel guest is a resident of a state that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian, and such person must pay his/her own expenses unless deemed to be the GP winner. GP winner and guest must take air travel on same travel itinerary. GP winner is responsible for all other incidentals/expenses not specifically mentioned as being included, including, but not limited to unspecified ground transportation/meals/gratuities/phone calls, room service and/or mini-bar charges. GP winner and guest are solely responsible for obtaining all necessary and required travel documents (passport, etc., if required). If GP winner elects to travel/partake in the Visit to the Set without a guest, no additional compensations will be awarded. Prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, to be stated in the Trip prize travel documents. Limit 1 prize per person/family/household for all five (5) Sweepstakes. No substitution or transfer of a prize except that Sponsor may substitute a prize of equal value for any reason. Prize notifications will be mailed to home addresses in the U.S. only. Any depiction of prizes is for illustrative purposes only.

All federal, state, and/or other taxes are sole responsibility of winner and each GP winner will receive an IRS 1099 Form at year's end issued by the Sponsor for the ARV (as stated herein) of his/her prize. Each GP winner (his/her parent/legal guardian if a resident of a jurisdiction that deems him/her to be a minor) will be required to execute (and have notarized) an Affidavit of Eligibility, a Liability/Publicity Release, and any other documentation Sponsor may require (collectively "Affidavit/Release"), which, among other functions, releases Sweepstakes Entities from any and all liability. Affidavit/Release must be signed, notarized, and returned using the provided pre-paid FedEx envelope, within three (3) days or such winner will be disqualified. Travel guest (his/her parent/legal guardian if a resident of a jurisdiction that deems him/her to be a minor) will be required to execute (and have notarized) a Liability/Publicity Release, and any other documentation Sponsor may require, and must be returned within three (3) days with winner's Affidavit/Release. Each potential GP winner and his/her travel guest will be required to fax his/her Affidavit/Release, along with a valid driver's license or government issued form of identification, prior to the three-day deadline. A faxed Affidavit/Release and travel guest Release will have the same force as the original. If winner is a resident of a state that deems him/her to be a minor, prize will be awarded in the name of his/her parent/legal guardian, who must sign Affidavit/Release on his/her behalf. Any personal information supplied by entrants to Sponsor or its affiliates will be subject to Sponsor's Privacy Policy. Thus, except where prohibited by law and Sponsor's Privacy Policy: (1) entry and/or winner's acceptance of prize constitutes permission for the Sweepstakes Entities to use winner's name, address (city and state), photo, likeness, biographical information, statement and voice for advertising/publicity purposes worldwide and in all forms of media (including posting on Web Site and/or on Show), in perpetuity, without further notice to or compensation in connection with said Sweepstakes or the prize awarded and (2) Sponsor has the right to modify, edit, adapt, electronically alter, use, assign and/or dispose of such Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third parties. However, Sponsor will not provide any personally identifying information of minors, regardless of its source, to any third party without the express written consent of entrant's parent/legal guardian. Sweepstakes is subject to all applicable federal, state, and local laws, and to these Official Rules (collectively "Rules and Laws").

By participating, entrants agree to be bound by these Rules and Laws and the decisions of the Sponsor, which are final and binding in all respects; to waive any right to claim ambiguity with the Rules and Laws; to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes; to release all right to bring any claim, action, or proceeding against the Sweepstakes Entities and entrants hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize. Each winner agrees that the Sweepstakes Entities and their agencies, officers, directors and employees shall not be responsible or liable for losses/injuries of any kind resulting from participation in this Sweepstakes including, but not limited to, the use/misuse and/or possession/acceptance of any prize, participation in this Sweepstakes or any damage to entrant's (or any third party's) equipment that may have resulted from the Entry process or any technical malfunctions of the telephone network, computer online system, computer equipment, software, or any combination thereof. Winners shall release Sweepstakes Entities from any and all liability/responsibility with respect to all prizes and/or Sweepstakes (including any property loss, damage, personal injury, or death). Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible for prizes and may be prosecuted to the full extent of the law. Sweepstakes Entities are not responsible for multiple entries, entries that are entered by other than human means or by other mechanical means, or for entries that are late (including delayed data transmissions), tampered with, illegible, mutilated, forged, mechanically duplicated, mass machine printed, postage due, misdirected, incomplete, destroyed, lost, or entries otherwise not in compliance with these Official Rules and such entries will be disqualified. Sponsor may choose, at its sole discretion, to cancel, modify or suspend Sweepstakes, or any portion thereof without notice.

Potential winners agree and acknowledge that Sweepstakes Entities are not responsible or liable for disputes over answers to any or all Clues. Sweepstakes Entities are not responsible if, in a given U.S. market, Show is broadcast on a delayed basis (e.g. if Show does not air on the uniform date across the country intended by Sponsor), or if Series is cancelled, delayed or production halted thereby eliminating the Visit to the Set portion of prize, or if Show is canceled, delayed or interrupted, in whole or in part, for any reason. Entrants agree to be contacted by telephone by the Show, at Show's sole discretion, during a broadcast/taping of Show and to have such telephone conversation included in the Show as broadcast. Multiple entries entered by photocopies, mechanical duplication or by other than human means are ineligible. If, for any reason, the online portion of the Sweepstakes is not capable of running as originally planned, such as tampering or infection by computer virus, Sponsor at its sole discretion, reserves the right to cancel, modify, or suspend the Internet portion of the Sweepstakes and determine entries from all salvageable Internet Entries, if any. Entrants also agree that the Sweepstakes entities are not responsible for entrant's inability to access Sweepstakes via the Internet due to hardware or software compatibility problems. In case of a dispute over the identity of the entrant who submitted the selected Internet Entry, Sponsor reserves the right, at its sole discretion, to deem the owner of the email account (as indicated on Internet service provider records) to be the entrant. Once submitted, entries become the sole property of Sponsor and will not be returned.
